Terms and conditions of sale

PREAMBLE

 

www.provisualstock-promo-shop.myshopify.com is an e-commerce site for the online sale of fashion items and related accessories.

 

This website is operated by BIC Radu Razvan under the trade name Provisualstock' Promo Shop. On this site and in these general terms and conditions of sale and use, the indication “Provisualstock' Promo Shop”, the terms “we”, “us” and “our” refer to BIC Radu Razvan, the terms “you” refer to the Customer.

 

Any person who places an order on the www.provisualstock-promo-shop.myshopify.com website acknowledges that he/she has read, understood and unreservedly accepts the present terms and conditions of sale.

 

All new features and tools added to this store in the future will also be subject to these General Terms and Conditions of Sale and Use.

 

By accepting these General Terms and Conditions of Sale and Use, you declare that you have reached the age of majority in your country, state or province of residence, and that you have given us your consent to allow any minor dependent on you to use this website.

 

Any breach or violation of these Terms and Conditions will result in immediate termination of your services.

 

Our store is hosted on Shopify Inc. They provide us with the e-commerce platform that allows us to sell our products and services to you.

ARTICLE 1 - CONDITIONS OF USE OF OUR ONLINE STORE

 

1-1 ORDERING

 

The fact of validating your order implies for you the obligation to pay the indicated price. The amount(s) of the product(s) purchased is (are) debited when the order is placed. Orders are only processed and goods dispatched once payment has been received.

 

Provisualstock' Promo Shop will then confirm the order by sending you a confirmation email. Then, when the order is shipped, a shipping confirmation e-mail will be sent to you. This e-mail will summarize: items purchased, payment information, delivery information, order number and your tracking number.

 

Provisualstock' Promo Shop reserves the right to suspend or cancel any execution of an order and/or delivery, whatever its nature and level of execution, in the event of non-payment or partial payment of any sum due by the Customer, in the event of a payment incident, or in the event of fraud or attempted fraud relating to the use of the Provisualstock' Promo Shop Internet Site, including on the occasion of previous orders.

 

Also, Provisualstock' Promo Shop cannot be held responsible in the event of an error in entering the e-mail address concerned, or in the event of non-receipt of the order confirmation e-mail. In this case, the sale will be considered final, except in cases of cancellation of the order by Provisualstock' Promo Shop, in particular for unavailability of products.

 

1-2 PRODUCTS

We print your items in France when you order.

All product descriptions are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time.

Provisualstock' Promo Shop is not responsible for information and public statements made by its suppliers of which it has no knowledge and which it was not legitimately in a position to know.

 

1-3 PRODUCT SELLING PRICES

The sale prices of the items shown on the Site are indicated in Euros and exclusive of tax (HT): VAT not applicable, in accordance with article 293 B of the French General Tax Code.

Prices do not include delivery charges. The amount of the delivery charges is specified in your basket before validation of the order.

Provisualstock' Promo Shop reserves the right to modify the prices of items at any time, the items being invoiced on the basis of the prices in force at the time of validation of each order. The price of the items invoiced is therefore the one indicated at the time of the order.

The articles remain the entire property of Provisualstock' Promo Shop until full payment of the price, which the customer acknowledges and accepts.

 

1-4 SHIPPING

 

All our shipments, whether to France or abroad, are accompanied by a tracking number. For deliveries in France, delivery is made by La Poste via Colissimo. The tracking number is communicated by e-mail when the carrier takes charge of the order.

 

If the customer enters an incorrect delivery address and the order is returned to us, a re-shipment is possible, but the cost of the new shipment will be charged to the customer.

Processing time

 

On receipt of payment, the order is printed and dispatched from the workshop in the south of France within 2 to 4 working days. This allows time for production, verification, quality control and packaging of your order.

 

Shipping time (variable according to destination)

 

In France, delivery takes 2 to 3 working days.

In Europe, delivery takes 3 to 5 working days.

In the rest of the world, delivery takes 5 to 8 working days.

Please note that we cannot be held responsible for delivery times not respected by the carrier, and that there are certain delays that we are unable to predict. These may be due to customs clearance, natural disasters, strikes or other reasons.

 

Our shipping rates are calculated as precisely as possible, according to the exact weight of your parcel, and are accompanied by a tracking number. They are indicated when you confirm your order.

1-5 PAYMENTS

 

All orders are payable in euros.

 

The price invoiced to the customer is the price indicated in the order confirmation sent to the customer by email. The order is payable immediately, by credit card (CB, Visa, MasterCard, American Express), Paypal account. Transactions carried out on the site are entrusted to a secure online payment platform. They are secured by a solution that presents highly secure pages for entering payment data: card number, expiry date and visual cryptogram. This platform encrypts then transmits these payment data to the bank, in complete confidentiality and makes them inaccessible to a third party.

 

The Customer warrants to Provisualstock' Promo Shop that he is fully authorized to use the payment card for payment or the Paypal account of his order and that these means of payment legally give access to sufficient funds to cover all costs resulting from his order on the site www.provisualstock-promo-shop.myshopify.com.

 

Provisualstock' Promo Shop can not be held responsible for any fraudulent use of the means of payment used.

 

Provisualstock' Promo Shop reserves the right to suspend or cancel any order and / or delivery, whatever its nature and level of execution, in case of non-payment of any sum due by the Customer or in case of payment incident.

 

Penalties of an amount equal to the legal interest rate plus five points are automatically applicable to unpaid amounts at the end of a period of ten days following the supposed payment date, or upon notification of bank payment rejection for any other means of payment.

 

Shipping of any new order may be suspended in the event of late payment of a previous order, notwithstanding the provisions herein.

 

It is the Customer's responsibility to save and print his/her payment certificate if he/she wishes to keep bank details relating to his/her transaction.

 

ARTICLE 2 - RETURNS AND REFUNDS

 

Right of withdrawal

In accordance with national and European consumer protection legislation, you have a period of 14 clear days from receipt of your order to exercise your right of withdrawal, without having to justify your reasons or pay any penalties, with the exception, where applicable, of the cost of return postage, which remains at your expense. After the 14-day period, we will only accept the return of defective products or products that do not correspond to those you ordered. Notification of withdrawal should be made by email to: store@provisualstock.com

 

Return of products with a quality defect or not corresponding to your order

 

Despite the great care taken with your orders and the quality control carried out before each shipment, it may exceptionally happen that an item has a quality defect or does not correspond to the item you ordered. In this case, you have 30 days from receipt of your order to request a refund. To do so, please contact us at store@provisualstock.com, specifying your order number, first and last name and a photo of the product with a description of the defect or problem. We will either send you a new product at our expense or issue a refund, whichever you prefer.

Products must be returned in their original packaging. Any product that is incomplete, damaged and/or whose packaging has been damaged will not be accepted for return, exchange or refund.

 

We offer refunds in the following situations:

 

- if you exercise your right of withdrawal within the 14-day period.

 

- if the product you have received has a quality defect or does not correspond to your order, within 30 days.

 

In this case, we will send you a new product at our expense.

 

- in the event of official loss of your parcel, as declared by the delivery company.

 

In this case, we also offer to send you a new product at our expense. This does not apply to products marked as “delivered”.

 

We do not offer refunds in the following situations:

 

- Packages returned to us for misdirection or failure to claim may be reshipped at an additional cost, but will not be eligible for a refund.

 

- your order has not arrived due to exceptional circumstances (e.g. customs blockage or natural disaster)

 

- any other exceptional circumstances beyond our control.

 

Requests for refunds should be sent by e-mail to: store@provisualstock.com

Once your refund has been accepted or the return has been received, we will pay the amount due between 3 and 7 days maximum directly via the payment method used at the time of your order.

Initial delivery charges are not refunded.

ARTICLE 3 - GENERAL CONDITIONS

We reserve the right to refuse access to the services to any person at any time, for any reason whatsoever.

 

You understand that your content (excluding your credit card information) may be transferred unencrypted, and this implies (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements for connecting networks or devices. Credit card information is always encrypted during transmission over networks.

 

You agree not to reproduce, duplicate, copy, sell, resell or exploit any part of the Service or use of the Service, or any access to the Service or contact on the website, through which the Service is provided, without our prior express written permission.

ARTICLE 4 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if the information available on this site is not accurate, complete or up-to-date.

The content of this site is provided for informational purposes only and should not be relied upon as your sole source of information for making decisions without first consulting more accurate, complete and up-to-date sources of information. If you decide to rely on the content presented on this site, you do so at your own risk.

This site may contain certain prior information. Such prior information, by its nature, is not current and is provided for information purposes only. ARTICLE 5 - ACCURACY OF BILLING AND INFORMATION

We reserve the right to refuse any order you place with us.

We may, at our sole discretion, reduce or cancel quantities purchased per person, per household or per order. Such restrictions could include orders placed by or from the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we change or cancel an order, we may attempt to notify you by contacting you at the e-mail and/or billing address/phone number provided at the time the order was placed. We reserve the right to limit or prohibit orders that, in our sole judgment, may appear to be from merchants, resellers or distributors.

 

You agree to provide complete and accurate order information for all orders placed through our store. You agree to promptly update your information, including your e-mail address, credit card numbers and expiration dates, so that we may complete your transactions and contact you if necessary.

Some content and products available through our Service may include materials from third parties.

 

Third-party links on this site may direct you to third-party web sites that are not affiliated with us. We are not responsible for any harm or damage related to the purchase or use of any goods, services, resources, content, or any other transactions conducted in connection with such third-party websites. ARTICLE 7 - PERSONAL DATA

All purchases on the www.provisualstock-promo-shop.myshopify.com website can be made without creating a customer account. We collect only the data we need to complete your order and ship your products.

In accordance with the provisions of the French Data Protection Act no. 78-17 of January 6, 1978, the site has been registered with the CNIL (Commission Nationale Informatique et Libertés) under the number declaration in progress.

Finally, your banking information is never in our possession. Transactions are processed entirely by Paypal or by our partner's secure payment module. The site uses cookies (connection cookies), of which the user is informed when he/she arrives on the website, to record information relating to the computer's navigation on the website. These cookies are installed only after acceptance by the user, and continued browsing of the website constitutes acceptance. From time to time there may be information on our site or in the Service that may contain typographical errors, inaccuracies or omissions which may relate to product descriptions, prices, promotions, offers, product shipping charges, delivery times and availability. We reserve the right to correct any errors, inaccuracies, omissions, and to change or update information or cancel orders, if any information on the Service or any associated website is inaccurate, at any time and without notice (including after you have placed your order).

 

We are under no obligation to update, modify or clarify any information in the Service or on any associated website, including but not limited to pricing information, except as required by law. No defined update or refresh date in the Service or on any associated website should be relied upon to conclude that the information in the Service or on any associated website has been changed or updated.

 

ARTICLE 9 - PROHIBITED USES

In addition to the prohibitions set forth in the General Terms and Conditions of Sale and Use, you are prohibited from using the Site or its content: (a) for illegal purposes; (b) to induce others to commit or participate in illegal acts; (c) to violate any regional ordinance or any international, federal, provincial or state law, rule or regulation; (d) to infringe or violate our intellectual property rights or those of third parties; (e) to harass, abuse, insult, hurt, slander, libel, disparage, intimidate or discriminate against anyone on the basis of gender, sexual orientation, religion, ethnic origin, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used to compromise the functionality or operation of the Service or any associated or independent web site or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, hijack, extort information from, browse, explore or scan the World Wide Web (or any other resource); (j) for obscene or immoral purposes; or (k) to interfere with or circumvent security measures of our Service, any other web site, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating the prohibited uses.

 

SECTION 10 - INDEMNIFICATION

 

You agree to indemnify, defend and hold harmless Provisualstock' Promo Shop, our partners, officers, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms and Conditions or the documents they reference, or your violation of any law or the rights of a third-party.

 

ARTICLE 11 - SEVERABILITY

 

In the event that any provision of these General Terms and Conditions of Sale and Use is held to be unlawful, void or unenforceable, such provision shall nonetheless be enforced to the fullest extent permitted by law, and the unenforceable portion shall be deemed to be severed from these General Terms and Conditions of Sale and Use, such severance not to affect the validity and enforceability of any remaining provisions.

 

ARTICLE 12 - TERMINATION

 

The obligations and liabilities incurred by the parties prior to the date of termination shall survive the termination of this agreement for all purposes.

These Terms and Conditions are effective unless and until terminated by either you or otherwise. You may terminate these Terms and Conditions at any time by notifying us that you no longer wish to use our Services, or when you cease to use our site.

 

If we determine, in our sole discretion, that you are unsuccessful, or if we suspect that you have been unable to comply with the terms of these Terms and Conditions of Sale and Use, we may also terminate this agreement at any time without notice to you and you will remain liable for all amounts owing up to and including the date of termination, and/or we may deny you access to our Services (or any part thereof).

 

ARTICLE 13 - ENTIRE AGREEMENT

 

Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

These Terms and Conditions of Sale and Use or any other policies or operating rules published by us on this site or in connection with the Service constitute the entire understanding and agreement between you and us and govern your use of the Service, and supersede all prior or contemporaneous communications, proposals and agreements, oral or written, between you and us (including, but not limited to, any prior version of the Terms and Conditions of Sale and Use).

 

Any ambiguity as to the interpretation of these General Terms and Conditions of Sale and Use shall not be construed to the detriment of the drafting party.

 

ARTICLE 14 - APPLICABLE LAW

 

These General Terms and Conditions are governed by French law and current French standards.

 

ARTICLE 15 - MODIFICATIONS TO THE GENERAL TERMS AND CONDITIONS OF SALE AND USE

 

You may consult the most recent version of the General Terms and Conditions of Sale and Use at any time on this page.

We reserve the right, at our sole discretion, to update, modify or replace any part of these Terms and Conditions of Sale and Use by posting updates and changes on our site. It is your responsibility to visit our site periodically to check for changes. Your continued use of or access to our site following the posting of any changes to these Terms and Conditions of Sale and Use constitutes acceptance of such changes.

 

ARTICLE 16 - WARRANTIES - LIMITATION OF LIABILITY

 

Provisualstock' Promo Shop 's liability with respect to any Product purchased on the Site is strictly limited to the purchase price thereof. Provisualstock' Promo Shop shall in no event be liable for any of the following losses, regardless of their origin:

 

- loss of revenue or sales

 

- loss of business

 

- loss of profits or contracts

 

- loss of anticipated savings

 

- loss of data

 

- loss of work or management time

 

- loss of image

 

- loss of opportunity, in particular to order a Product,

 

- moral prejudice.

 

The documents, descriptions and information relating to the Products appearing on the Site are not covered by any warranty, express or implied, with the exception of the warranties provided by law.

Provisualstock' Promo Shop provides no warranty with respect to any harm that may be caused by the transmission of a computer virus, worm, time bomb, Trojan horse, cancelbot, logic bomb or any other form of programming routine designed to damage, destroy or otherwise impair the functionality of a computer or interfere with the proper working of a computer, including any transmission resulting from a download of any content by the Customer, the software used by the Customer to download the content, the Site or the server that makes it available. In this respect, the Customer acknowledges that it is its responsibility to install appropriate anti-virus and security software on its computer hardware and any other devices in order to protect them against any bugs, viruses or other such programming routines that may prove harmful.

 

The Customer acknowledges that it assumes all risks associated with any content downloaded or otherwise obtained through the use of the Site and agrees that it is solely responsible for any damage to its computer system or loss of data that results from the download of such content.

 

Provisualstock' Promo Shop is only obliged to deliver Products that comply with the contractual provisions. Products are considered to be in conformity with the contractual provisions if the following conditions are met: (i) they must conform to the description and possess the characteristics set forth on the Site; (ii) they must be suitable for the purposes for which products of this kind are generally designed; (iii) they must meet the quality and resistance criteria that are generally accepted for products of the same kind and that can reasonably be expected.

 

In addition, Provisualstock' Promo Shop guarantees consumers against defects in conformity and latent defects for Products on sale on the Site under the following conditions:

 

Visible defects - Warranty - Legal conformity - Hidden defects

 

The presence of an apparent defect on a Product must give rise to a complaint by e-mail (store@provisualstock.com).

 

The Customer must comply with the procedure relating to the right of withdrawal by informing Provisualstock' Promo Shop in advance by any means of the existence of this apparent defect, so that the return can be accepted.

 

Subject to validation of a non-conformity or a defect by Provisualstock' Promo Shop or the manufacturer as the case may be, the Customer benefits from the following warranties:

 

ProvisualStock acts as guarantor within the meaning of the provisions of articles L 217-5 et seq. of the French Consumer Code and 1641 et seq. of the French Civil Code.

 

Thus the Customer :

- has a period of two (2) years from the date of delivery of the Product to bring an action for lack of conformity of the Product,

 

- is exempted from proving the existence of the lack of conformity of the good during the six (6) months following delivery of the Product,

 

- may choose between repairing or replacing the Product, subject to the cost conditions stipulated in article L217-9 of the French Consumer Code;

 

The legal warranty of conformity applies independently of the commercial warranty described below.

 

In addition, the Customer may also invoke the legal warranty for hidden defects in the item sold, as defined in articles 1641 et seq. of the French Civil Code. The legal warranty for latent defects entitles the Customer, within a period of two years from the discovery of the defect, to a refund for a Product which has proved to be unfit for its intended use.

 

The latent defects warranty protects the Customer against latent defects in the Product purchased, which prevent its use or affect it to such an extent that the Customer would not have purchased it.

 

The Customer may then choose between two options: keep the Product and ask for a price reduction, or return the Product and ask for a refund of the price paid, in accordance with article 1644 of the French Civil Code.

In order to implement these guarantees, the Product must be returned, in its original packaging, in its original condition, new, unworn, unwashed, with the references of the initial Order and a copy of the complaint to Provisualstock' Promo Shop's head office, after sending an e-mail indicating the reason for the return of the Product.

 

For all practical purposes, we remind you of the following legal provisions:

 

Art. L217-4 of the French Consumer Code: “The seller delivers goods in conformity with the contract and is responsible for any defects in conformity existing at the time of delivery. He is also liable for any lack of conformity resulting from the packaging, assembly instructions or installation when the latter was made his responsibility by the contract or was carried out under his responsibility.”

 

Art. L217-5 of the French Consumer Code: “The good conforms to the contract: 1° If it is fit for the purpose usually expected of similar goods and, where applicable (a) if it corresponds to the description given by the seller and possesses the qualities that the seller presented to the buyer in the form of a sample or model ; (b) if it has the qualities that a purchaser may legitimately expect having regard to public statements made by the seller, by the producer or by his representative, particularly in advertising or labelling; 2° Or if it has the characteristics defined by mutual agreement between the parties, or is suitable for any special use sought by the buyer, brought to the seller's attention and accepted by the latter.”

Art. L217-7 of the French Consumer Code: “Conformity defects which appear within twenty-four months of delivery of the goods are presumed to have existed at the time of delivery, unless proven otherwise. For goods sold second-hand, this period is six months. The seller may rebut this presumption if it is not compatible with the nature of the good or the lack of conformity claimed.”

 

Art. L217-8 of the French Consumer Code: “The buyer has the right to demand that the goods conform to the contract. He may not, however, contest conformity by invoking a defect of which he was aware or could not have been unaware when he entered into the contract. The same applies when the defect is due to materials supplied by the purchaser.

 

Art. L217-9 of the French Consumer Code: “In the event of a lack of conformity, the buyer may choose between repair and replacement. However, the seller may not proceed according to the buyer's choice if this choice entails a cost that is manifestly disproportionate to the other option, taking into account the value of the good or the importance of the defect. He is then obliged to proceed, unless this is impossible, according to the method not chosen by the buyer.”

Art. L217-10 of the French Consumer Code: “If repair or replacement of the good is impossible, the buyer may return the good and have the price refunded, or keep the good and have part of the price refunded. The same option is available to the buyer: 1° If the solution requested, proposed or agreed in application of article L. 217-9 cannot be implemented within one month of the buyer's complaint; 2° Or if this solution cannot be implemented without major inconvenience for the buyer, given the nature of the good and its intended use. However, the sale may not be rescinded if the lack of conformity is minor.

 

Art. L217-11 of the French Consumer Code: “The application of the provisions of articles L. 217-9 and L. 217-10 takes place at no cost to the buyer. These same provisions do not preclude the award of damages.”

 

Art. L217-12 of the French Consumer Code: “Action resulting from a lack of conformity is barred after two years from the date of delivery of the goods.”

 

Art. L217-13 of the French Consumer Code: “The provisions of the present section do not deprive the purchaser of the right to exercise the action resulting from redhibitory defects as set out in articles 1641 to 1649 of the French Civil Code, or any other action of a contractual or extra-contractual nature recognized by law.”

Art. 1641 of the French Civil Code: “The seller is liable for any hidden defects in the item sold which render it unfit for its intended use, or which impair that use to such an extent that the buyer would not have purchased it, or would only have paid a lower price for it, had he been aware of them”.

 

Art.1642 of the French Civil Code: “The seller is not bound by apparent defects of which the buyer has been able to convince himself.”

 

Art. 1643 of the French Civil Code: “He is liable for latent defects, even if he did not know about them, unless, in this case, he has stipulated that he will not be obliged to provide any guarantee.”

 

Art. 1644 of the French Civil Code: “In the case of articles 1641 and 1643, the buyer has the choice of returning the thing and having the price refunded, or keeping the thing and having part of the price refunded.”

 

Art. 1646 of the French Civil Code: “If the seller was unaware of the defects in the thing, he will only be bound to return the price, and reimburse the buyer for the costs incurred by the sale.”

 

Art. 1648 of the French Civil Code: “The action resulting from redhibitory defects must be brought by the purchaser within two years of the discovery of the defect. (...) ”

 

Force Majeure

In the event of the occurrence of an event of force majeure preventing the performance of these TCS, Provisualstock' Promo Shop shall inform the Customer within fifteen (15) days of the occurrence of such event, by e-mail or by registered letter with acknowledgement of receipt. In addition to those usually accepted by the jurisprudence of French courts and tribunals, the following are expressly considered as cases of force majeure or fortuitous events: total or partial strikes, lock-outs, riots, boycotts or other industrial actions or commercial disputes, civil unrest, insurrection, war, acts of terrorism, bad weather, epidemics, blockage of means of transport or supply for any reason whatsoever, earthquake, fire, storm, flood, water damage, governmental or legal restrictions, legal or regulatory changes to forms of marketing, computer failure, blockage of telecommunications, including wired or wireless telecommunications networks, and any other event beyond the control of the parties preventing the normal performance of the contractual relationship. All obligations of the parties are suspended for the duration of the force majeure event, without compensation. If the event of force majeure continues for more than three (3) months, the transaction concerned may be terminated at the request of Provisualstock' Promo Shop or the Customer without compensation on either side. The Customer's failure to pay cannot be justified by force majeure.
